These General Terms of Use (“Terms”) govern access to BitsAndPlaces and its websites, accounts, dashboards, listings, communications and related services (collectively, the “Services”). By using the Services, you agree to these Terms. Booking customers also agree to the Booking Terms and Cancellation Policy.
1. Platform operator
BitsAndPlaces is operated by Ionbnb LLC, [INSERT MAILING ADDRESS]. References to “BitsAndPlaces,” “we,” “us” and “our” mean Ionbnb LLC and the BitsAndPlaces platform.
2. Accounts
You must provide accurate information, protect your credentials and promptly update material changes. You are responsible for activity under your account unless you promptly notify us of unauthorized use. We may require identity, property or payment verification.
3. Guest use
Guests may use the Services to search for stays, submit reservation requests, pay for confirmed bookings, communicate about reservations and manage eligible accounts. Guests must comply with the Booking Terms, property rules and applicable laws.
4. Host use and listings
A Host must have legal authority to offer each property and must provide accurate, current and non-misleading listing information, photographs, availability, pricing, fees, taxes, permits, safety information, house rules and cancellation terms. A Host is responsible for the legality, habitability, safety, maintenance and delivery of the accommodation.
Submission does not guarantee publication. We may review, approve, reject, edit for formatting, suspend or remove a listing that is incomplete, misleading, unlawful, unsafe, inactive or inconsistent with platform standards. Material content changes should not alter the substance of a Host’s offering without the Host’s approval, except to correct obvious errors or meet legal or platform requirements.
Host service fees, payout timing and other commercial terms are governed by the Host’s separate agreement or the terms accepted during onboarding. The standard BitsAndPlaces model uses a 10% platform charge incorporated into the displayed booking rate. The separate Host agreement should specify how that charge is calculated and allocated. Hosts do not separately administer the Bitcoin-linked Promotion unless a written agreement expressly states otherwise.
5. Independent Hosts
Hosts are independent property owners or operators and are not employees, agents or joint venturers of BitsAndPlaces. BitsAndPlaces provides platform and transaction services but does not own or control the properties unless a listing expressly states otherwise.
6. Acceptable use
You may not:
• Use the Services for unlawful, fraudulent, deceptive, abusive or discriminatory activity.
• Submit false listings, reviews, reservations, identities, payment information or claims.
• Bypass platform fees or payment processes for a reservation introduced or arranged through BitsAndPlaces where prohibited by an applicable agreement.
• Interfere with the website, probe security, introduce malicious code, scrape at unreasonable volume or access another person’s account without authorization.
• Copy, republish or commercially exploit platform content except as permitted by these Terms or written authorization.
• Use the Promotion to manipulate prices, create duplicate bookings, generate artificial eligibility or otherwise abuse the program.
7. Content and intellectual property
The Services, brand elements, software, page design and platform-created content are owned by or licensed to BitsAndPlaces and are protected by applicable law. Subject to these Terms, we grant users a limited, revocable, nonexclusive and nontransferable right to use the Services for their intended purpose.
You retain ownership of content you submit. You grant BitsAndPlaces a worldwide, nonexclusive, royalty-free license to host, reproduce, format, display, distribute and use that content as reasonably necessary to operate, promote and improve the Services and the applicable listing. You represent that you have the necessary rights and permissions.
8. Reviews and communications
Reviews and other public content must reflect genuine experiences and may not contain unlawful, threatening, defamatory, private or misleading material. We may moderate or remove content that violates these Terms, while not undertaking a duty to monitor all content.
9. Third-party services
The Services rely on third parties such as Stripe, hosting providers, analytics tools, mapping services and property-management systems. Their services may be subject to separate terms and privacy policies. We are not responsible for a third party’s independent acts, outages or policies, except as required by law.
10. Suspension and termination
We may restrict, suspend or terminate access when reasonably necessary to protect users, properties, payment integrity or the platform; investigate suspected fraud or violations; comply with law; or address nonpayment. Where practical, we will provide notice and an opportunity to correct the issue. Termination does not eliminate payment, damage, refund or other obligations already incurred.
11. Disclaimers
To the fullest extent permitted by law, the Services are provided on an “as available” basis. We do not guarantee uninterrupted website operation, that every listing or user statement is error-free, or that a particular property will meet preferences not expressly included in the confirmed listing. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
Bitcoin prices are volatile and may increase, decrease or remain unchanged. BitsAndPlaces does not provide investment, tax or financial advice. The Promotion does not give a guest any right to Bitcoin or exposure beyond the specific promotional rebate described in the Booking Terms.
12. Limitation of liability
To the fullest extent permitted by law, BitsAndPlaces will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, data or opportunities arising from the Services. Our aggregate liability arising from a specific reservation will not exceed the amounts paid to BitsAndPlaces for that reservation, except where applicable law prohibits such a limitation.
These limitations do not apply to liability that cannot legally be limited, including any liability resulting from fraud, willful misconduct or other non-waivable obligations.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless BitsAndPlaces and its officers, members, employees and service providers from third-party claims, losses and reasonable costs arising from your unlawful conduct, your content, your material violation of these Terms, or damage caused by you or persons for whom you are responsible. This section does not require a consumer to indemnify BitsAndPlaces for BitsAndPlaces’ own unlawful conduct.
14. Governing law and disputes
These Terms are governed by the laws of the State of Vermont, without regard to conflict-of-law principles, except that mandatory consumer protections of your home jurisdiction continue to apply. Before filing a claim, contact [INSERT LEGAL/CONTACT EMAIL] and allow 30 days for a good-faith effort to resolve the dispute.
Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in the state or federal courts located in Vermont, and the parties consent to those courts’ jurisdiction.
15. Electronic communications
You consent to receive agreements, disclosures, confirmations and notices electronically. Keep your email and telephone information current. Transactional messages are part of the Services and are different from optional marketing communications.
16. Changes to the Services or Terms
We may update the Services and these Terms. The revised Terms will state their effective date. Changes apply prospectively unless law permits otherwise. Material changes will receive additional notice when required. Terms accepted for an existing confirmed reservation continue to govern that reservation unless both parties agree otherwise or a legal requirement applies.
17. General provisions
If a provision is unenforceable, the remaining provisions remain effective and the invalid provision will be limited to the minimum extent necessary. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our consent; we may assign these Terms in connection with a merger, reorganization or sale of the business. These Terms and incorporated policies constitute the agreement concerning the Services, subject to any separate Host agreement or property-specific terms.
